Tom has over 35 years of experience in corporate and commercial law and has practiced exclusively in the area of information technology law, intellectual property licensing and related commercial technology transactions over the last 25 years.

Tom brings valuable practical experience and perspective to his clients having served as General Counsel and Corporate Secretary of ObjecTime Limited, a leading provider of software engineering automation tools from 1997 to 2000 until it was acquired by Rational Software Corporation in 2000.

In his practice, Tom works closely with CFOs, CLOs, GCs and Business Development/Sales executives negotiating and drafting major customer and partner agreements in the technology sector. Tom represents both vendors and purchasers of technology products and services, but primarily assists small and medium sized technology companies in selling or licensing their products, solutions and services to large enterprises around the world.

Tom’s areas of expertise include software licensing and SaaS agreements; hardware and software product distribution; manufacturing and supply agreements; technology development, licensing and acquisition; business partnerships and strategic alliances.

Tom’s goal is to assist clients accelerate their growth by:

• developing well drafted, commercially reasonable contract templates;
• improving contracting processes and shortening the sales cycle;
• ensuring companies are adequately prepared for financing and acquisition opportunities and transactions; and
• delivering timely, practical and commercially oriented advice.

Prior to joining Inter Alia Law, Tom was a member of the Venture Technology and Emerging Companies Group at Dentons Canada LLP, where he practiced for 24 years and led the Commercial IT team in Ottawa.
